浅谈我国独立董事制度的现状及完善对策

The Present Situation and Improvement Countermeasures of Independent Director System in China

摘要: 独立董事制度作为完善公司治理结构中最为关键的一部分被引入我国。然而由于我国自身国情的不同，独立董事制度并没有发挥出应有的作用。本文通过上市公司2004~2016年的数据旨在分析我国上市公司独立董事制度的现状以及存在的不足，从而提出对策更好地完善我国上市公司的治理结构，帮助独立董事更好地履行职责。

Abstract: The independent director system is introduced into our country as the most critical part of im-proving the corporate governance structure. However, due to the fact that China’s own national conditions are different, the independent director system has not played its proper role. Based on the data of listed companies for 2004~2016 years, this paper is aimed to analyze the current situation and shortcomings of the independent director system of listed companies in china, thus in order to put forward the countermeasures to better improve the governance structure of listed companies in China, and to help independent directors perform their duties better.
