摘要: 数据交易已成为一项新兴的活动，数据交易合同也随之频繁出现，但我国目前并未对其作出具体规制，理论界观点也各不统一，数据交易行为得不到明确的指引，对于这方面的讨论亟待加强。本文将以此背景为立足点，对数据交易合同的法律适用进行研究，明晰数据交易的法律内涵与规制现状，根据数据交易的给付内容并结合交易实践将数据交易合同分成数据买卖合同、数据服务合同以及数据使用合同三种类型，且这三种合同可分别参考适用买卖合同、承揽合同以及技术许可合同的规则。数据交易合同在合同纠纷管辖以及行为正当性等方面存在疑难，需要在责任承担和赔偿金额机制以及制定具体数据交易合同细则方面进行优化。

Abstract: Data trading has become an emerging activity, and data trading contracts have also appeared frequently. However, my country has not yet made specific regulations on it, and the theoretical community has different views. Data trading behavior has not received clear guidance, and discussions in this regard need to be strengthened. Based on this background, this article will study the legal application of data trading contracts, clarify the legal connotation and regulatory status of data trading, and divide data trading contracts into three types according to the content of data trading and combined with transaction practices: data sales contracts, data service contracts, and data use contracts. These three types of contracts can refer to the rules of sales contracts, contracting contracts, and technology licensing contracts. There are difficulties in the jurisdiction of contract disputes and the legitimacy of behavior in data trading contracts, and they need to be optimized in terms of liability and compensation amount mechanisms and the formulation of specific data trading contract details.
