浅析商事信托之商主体地位

The Commercial Legal Subject Status of Commercial Trusts

摘要: 为了适应社会经济发展的新需求，现代商事信托制度已经逐渐演变为与公司制度相媲美的商业组织架构。在促进财产管理和流转的同时，也引发了一系列法律纠纷。学界长期以来持续关注的焦点之一便是商事信托商主体资格的认定标准。在这一背景下，通过对商事信托和公司制度进行深入对比分析，探讨商事信托具备商主体资格的可行性，并进一步提炼出明确商事信托成为商主体的路径：信托登记程序、独立的信托财产、独立的责任。在信托法领域内明确商事信托的法律主体地位，对于厘清相关法律关系中的权利义务归属及责任承担主体具有重要的意义和作用。

Abstract: To meet the new demands of socio-economic development, the modern commercial trust system has gradually evolved into a commercial organizational structure comparable to the corporate system. While facilitating the management and circulation of property, it has also given rise to a series of legal disputes. One of the long-standing focal points in academia has been the criteria for determining the commercial subject qualification of commercial trusts. Against this backdrop, through an in-depth comparative analysis of commercial trusts and the corporate system, this study explores the feasibility of commercial trusts possessing commercial subject qualification and further identifies a clear pathway for establishing commercial trusts as commercial subjects: trust registration procedures, independent trust property, and independent liability. Clarifying the legal subject status of commercial trusts within the field of trust law holds significant importance and practical value for determining the attribution of rights and obligations as well as the entities responsible for liability in relevant legal relationships.
