A Study on the Promotion of the Development of Corporate Legal Systems by the Revision of the Company Law

摘要: 2023年修订的《中华人民共和国公司法》是我国商事立法领域的重大革新，也是公司法律制度适应市场经济高质量发展需求的关键转型。本文以本次公司法修订的核心内容为研究对象，梳理我国公司法律制度的演进逻辑与本次修订的时代动因，从资本制度重构、公司治理优化、债权人保护升级、中小股东权益保障四个维度，剖析本次修订对公司法律制度体系发展的促进作用，阐释修订背后的价值内核与实践意义。研究认为，本次公司法修订并非对既有制度的简单修正，而是对公司法律制度核心逻辑的系统性优化，实现了自治与管制、效率与安全的价值平衡，为我国市场经济的健康发展筑牢了制度根基。

Abstract: The Company Law of the People’s Republic of China, revised in 2023, marks a groundbreaking innovation in China’s commercial legislation sphere, as well as a pivotal transformation of the corporate legal system to adapt to the demands of high-quality development of the market economy. Taking the core content of this revision as the research object, this paper sorts out the evolutionary logic of China’s corporate legal system and the era-specific drivers of this revision, analyzes the promoting effect of the revision on the development of the corporate legal system framework from four dimensions, namely restructuring of the capital system, optimization of corporate governance, enhancement of creditor protection, and safeguarding of minority shareholders’ rights and interests, and further explains the core value connotation and practical significance underlying the revision. This study concludes that this revision of the Company Law is not a simple amendment to the existing system, but a systematic optimization of the core logic of the corporate legal system. It has achieved a sound value balance between autonomy and regulation, efficiency and security, and consolidated the institutional foundation for the healthy development of China’s market economy.
