摘要: 建设工程领域交易情况复杂，参与主体众多，此情形下法人人格否认制度的适用问题尤为凸显。本文着眼于建设工程施工合同的履行场景，意在明确公司法人人格否认的具体适用情形，并深入探讨实际施工人规则的适用边界。参考司法实践中的案例以及相关法律规定，从主体资质存在瑕疵、财产界限模糊不清、控制权被肆意滥用、清算注销流程问题这四个维度深入剖析。经研究发现，资质挂靠、资金混同、借助关联交易转移公司资产等行为是导致法人人格被否认的常见原因。在法院认定过程中往往更注重实质审查而非仅做形式上的判断。精准运用法人人格否认制度，可有效抑制滥用公司独立人格来逃避责任的行径，进而保障建设工程市场的正常秩序以及债权人的合法权益，促进建设工程领域交易更加规范有序发展。

Abstract: The construction engineering sector involves complex transactions with numerous stakeholders, making the application of the doctrine of piercing the corporate veil particularly critical. This study examines the implementation scenarios of construction contracts to clarify specific circumstances for applying corporate piercing and explores its boundaries with the actual constructor rule. Drawing on judicial precedents and legal provisions, the analysis focuses on four dimensions: flawed qualifications, ambiguous asset demarcation, abuse of control, and issues in liquidation procedures. Research reveals that common causes of piercing include qualification fraud, fund commingling, and asset transfers through related-party transactions. Courts tend to emphasize substantive review over superficial formalities. Proper application of the doctrine can effectively curb corporate liability evasion, safeguard the construction market’s order and creditors’ rights, and promote standardized development in the sector.
