论股东的诉权——以提案权引发的讨论

On Shareholders’ Right of Action from the Perspective of Proposal Right

摘要: 股东提案权是共益权，保障了股东参与公司事务的合法权益，但是在过去为了促进中小股东投资法律大力保护股东提案权，如今股东提案权权限过大引发了更多的社会问题，如何平衡股东提案权和董事会拒绝审议权对于股东提案合理化有很大的意义。本文以对比域外先进立法经验，结合我国股东提案权的不足之处进行探讨，通过明确适格股东行使提案权，建立董事会审查提案机制，完善股东提案被排除后的救济途径，在维护中小股东参与公司事务的条件下，在一定程度上避免董事会专权，促进公司经营管理的合理化，实现市场经济快速发展。

Abstract: Shareholders’ proposal right is the right of common interests, which protects the legitimate rights and interests of shareholders to participate in the company’s affairs. However, in the past, in order to promote the investment of small and medium-sized shareholders, the law vigorously protected the shareholders’ proposal right. Now, the excessive authority of shareholders’ proposal right has caused more social problems. How to balance the shareholders’ proposal right and the board’s re-fusal to review right is of great significance for the rationalization of shareholders’ proposal. Based on the comparison of foreign advanced legislative experience, combined with the shortcomings of shareholders’ proposal right in our country, this paper discusses how to avoid the monopoly of the board of directors to a certain extent and promote the development of the company’s operation and management by making it clear that qualified shareholders exercise the proposal right, establish-ing the review mechanism of the board of directors, improving the relief channels after the share-holders’ proposal is excluded, and maintaining the participation of small and medium shareholders in the company’s affairs Rationalization to achieve rapid economic development.
