高级管理人员执行无效决议之内部责任
Internal Responsibility of Senior Manager to Enforce Invalid Decisions of Company
摘要: 现行法规范之下,高级管理人员作为公司内部执行机关的组成成员,有执行公司决议的义务。但对于应当如何履行该义务,如何确定是否已合理履行义务的判断标准以及义务未履行的具体责任界定,我国现行规则并非作出明确规定。但在司法实践中,高级管理人员执行公司无效决议的情形频发,由此也引发了诸多诉讼纠纷。所以亟待确立相关规则来确定高级管理人员执行公司无效决议后的法律效果,以保护公司利益同时提升高级管理人员履行职责的积极性。从侵权责任的视角,对高级管理人员执行无效决议的责任构成要件、责任范围的界定以及责任的主张问题进行讨论,或可对实践问题的解决提供些许参考。
Abstract:
According to the current law, senior managers, as members of the company’s internal executive organs, have the obligation to implement the company’s resolutions. However, our current rules are not clear about how to perform the obligation, how to determine whether the obligation has been reasonably performed, and the definition of specific responsibility for the obligation not performed. But in judicial practice, senior managers frequently implement invalid decisions of the company, which causes many litigation disputes. Therefore, it is urgent to establish relevant rules to determine the legal effect of senior managers’ execution of invalid reso-lutions, so as to protect the interests of the company and enhance the enthusiasm of senior manag-ers to perform their duties. From the perspective of tort liability, this paper discusses the elements of senior managers’ responsibility for the implementation of invalid resolutions, the definition of the scope of responsibility and the assertion of responsibility, which may provide some reference for the solution of practical problems.
