反垄断法视域下商业特许经营制度研究
Study on Commercial Franchise System from the Perspective of Anti-Monopoly Law
摘要: 商业特许经营模式中特许人通常对所经销产品包含不同组合的纵向限制，特许人对加盟商实施的纵向价格与非价格限制涉嫌违反我国《反垄断法》的相关规定。但是，商业特许经营模式运作中的纵向限制大多是为了维护特许经营体系的统一性，也具有一定的合理性，但目前我国《反垄断法》规制其中涉嫌的垄断行为仍存在一定的困境。
Abstract:
In the business franchise mode, the franchisor usually contains different combinations of vertical restrictions on the products it distributes. The longitudinal price and non-price restrictions imposed by the franchisor on the franchisee are suspected to violate the relevant provisions of the anti-monopoly Law. However, the longitudinal restrictions in the operation of commercial franchise mode are mostly for the purpose of maintaining the unity of the franchise system, which also has some rationality. However, there are still some difficulties in the regulation of suspected monopoly behavior in the Anti-monopoly Law.
