经营者集中实体审查制度研究

Research on Entity Examination System of Concentration of Business

摘要: 本文简单介绍了经营者集中实体审查制度，并结合美国和欧盟的经验，分析我国相关制度，发现了经营者集中实体审查标准中存在宽泛抽象、不够明确的问题。最后针对不足提出了一些建议：首先是界定相关市场时要有灵活性；其次，提升国际竞争力、维护消费者利益是我国现阶段应该增加的标准；最后，完善更新经营者集中的审查内容和豁免制度将让我国的经营者集中实体审查制度更为全面。

Abstract: This paper briefly introduces the examination system of the concentrated entity of operators, and analyzes the relevant system of China based on the experience of the United States and the European Union, and finds that there are broad and abstract problems in the examination standards of the concentrated entity of operators. Finally, some suggestions are put forward to address the shortcomings: first, flexibility in defining relevant markets; secondly, to enhance international competitiveness and safeguard the interests of consumers is the standard that China should increase at this stage. Finally, improving and updating the review content and exemption system of concentration of business operators will make the entity review system of concentration of business operators in China more comprehensive.
