夫妻公司适用一人公司人格否认制度的思考

Thinking of Applying One Person Corporate Personality Denial System to Husband and Wife Company

摘要: 近年来，随着国家经济的不断发展以及营商环境的不断优化，越来越多的家庭选择成立公司以作为投资的工具。据此夫妻公司作为有限责任公司的一种特殊形式，在当前的经济生活中无处不在。从我国《公司法》现有规定来看，并不禁止具有夫妻关系的股东发起设立公司，从法律上讲，这种夫妻公司是具有独立人格的民事主体。然而实践中存在夫妻公司股东滥用公司法人独立地位和股东有限责任逃避债务的情形，此时，债务人应当如何追究股东责任以及如何最大限度的保护债权人的利益是本文探讨的核心问题。

Abstract: In recent years, with the continuous development of the national economy and the continuous optimization of the business environment, more and more families choose to set up companies as an investment tool. Therefore, as a special form of limited liability company, the husband and wife company is everywhere in the current economic life. From the existing provisions of the Company Law of our country, it is not prohibited for shareholders with husband and wife relationship to initiate the establishment of a company. From the legal point of view, such husband and wife company is a civil subject with independent personality. However, in practice, there are cases where share-holders abuse the independent status of corporate legal person and shareholders’ limited liability to avoid debts. At this point, the core issues discussed in this article are how debtors should hold shareholders accountable and how to maximize the protection of creditors’ interests.
