电商合同成立时间的认定及完善建议

Determination of the Time of Establishment of E-Commerce Contracts and Suggestions for Improvement

摘要: 目前，我国颁布了一系列相应的法律、法规和规范性文件以求规制电子商务活动，但就电子商务合同成立的时间节点问题，无论在学术界还是实务界，其认定标准并未规范统一，由此导致部分案例存在案情相同却审判结果不同的情况。本文采用问题导向，先对电子商务合同成立时间节点的问题进行思考，其次分析我国电子商务合同的立法现状，然后梳理我国现行立法中认定电子商务合同成立时间节点存在的缺漏，最后针对相应缺漏，提出以下完善建议：一是先就经营者所发布网页信息的性质进行认定；二是加强对“另有约定”的明晰与理解；三是审查合同中格式条款的合法性和合理性。

Abstract: At present, China has promulgated a series of corresponding laws, regulations and normative documents in order to regulate e-commerce activities, but on the issue of the time point of the establishment of e-commerce contract, whether in the academic or practical circles, the determination of the standard has not been standardized, which led to the existence of part of the cases with the same case but the trial results are different. This paper adopts the problem-oriented, first of all, the e-commerce contract on the establishment of the problem of the node of time for reflection, followed by the analysis of China’s e-commerce contract of the legislative status quo, and then sorting out China’s current legislation to determine the establishment of e-commerce contract of the node of time for the existence of the omissions, and finally for the corresponding omissions, puts forward the following suggestions for improvement: first, the operator issued the web page of information of the nature of the determination; secondly, to strengthen the clarity and understanding of “otherwise agreed”; and thirdly, to review the legality and reasonableness of the form clauses in the contract.
