论NFT平台在《电子商务法》视野下的注意义务

On the NFT Platform’s Duty of Care in the Perspective of E-Commerce Law

摘要: NFT数字藏品的出现催生了NFT交易平台。从NFT交易的运行过程可以识别出NFT交易平台的性质属于电子商务平台。与淘宝、京东的电商平台类似，为藏品爱好者提供数字藏品交易服务。根据NFT交易平台的交易模式中卖方入驻方式的不同，可以将NFT交易平台分为注册制、申请制、邀请制。NFT交易平台在电子商务法视野下的注意义务会随着交易过程和平台属性而发生改变。NFT交易平台在上链前，技术服务者只要在上链前对作品进行形式审查，符合合法性要求即可；技术服务提供者与内容服务提供者兼具的交易平台应当在上链前对作品的合法性作出实质审查，即审查作品是否存在著作权属争议、商家是否提供了授权说明等情况。NFT交易平台在上链后的注意义务为平台在接收到著作权权利人的合格通知后，及时采取必要措施。

Abstract: The emergence of NFT digital collections has given rise to the NFT trading platform. The nature of the NFT trading platform can be recognized as an e-commerce platform from the operation process of NFT trading. Similar to the e-commerce platforms of Taobao and Jingdong, it provides digital collection trading services for collection enthusiasts. According to the different ways of seller’s entry in the transaction mode of NFT trading platform, NFT trading platform can be classified into registration system, application system and invitation system. The duty of care of NFT trading platform under the vision of the e-commerce law will be changed with the transaction process and the platform attributes. Before the uploading of the NFT trading platform, the technical service provider only needs to carry out a formal review of the works before uploading, which is in line with the legality requirements. The NFT trading platform should make a substantive examination of the legality of the work before uploading, i.e., examine whether there is a dispute over copyright ownership of the work, and whether the merchant has provided an authorization statement, etc. The duty of care of the NFT trading platform after uploading is for the platform to take necessary measures in a timely manner after it receives the qualified notification from the copyright right holder.
