股东失权制度的适用范围和程序检视

摘要: 作为我国《公司法》修订后引入的创新制度，股东失权制度在具体适用条件及操作流程方面尚存完善空间。明确区分股东失权制度与股东除名制度的概念差异，是开展相关研究的理论前提与基础。在适用范围上，应将股东失权制度扩张适用于抽逃出资以及非货币出资不实的情形。在适用程序上，应完善失权流程和后续股权处置的程序：合理设置宽限期和发出失权通知的期限；细化转让或减资以及后续补缴方式的具体程序。

Abstract: As an innovative system introduced after the revision of the Company Law of our country, the shareholder disqualification system still has room for improvement in terms of specific application conditions and operational procedures. Clearly distinguishing the conceptual differences between the shareholder disqualification system and the shareholder delisting system is the theoretical prerequisite and foundation for conducting related research. In terms of the scope of application, the shareholder disqualification system should be expanded to apply to the withdrawal of capital contributions and the inaccurate non-monetary capital contributions. In terms of applicable procedures, the process of losing rights and the subsequent procedures for equity disposal should be improved: reasonably set the grace period and the period for issuing the notice of losing rights; refine the specific procedures for transfer or capital reduction and subsequent supplementary payment methods.
